CONSTITUTION OF THE

CANADIAN FOOTBALL OFFICIALS' ASSOCIATION ‑

ASSOCIATION CANADIENNE DES ARBITRES DE FOOTBALL

 

‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑‑­

 

ARTICLE 1.

Name:                   The Association shall be known as the Canadian Football Officials'

                              Association ‑Association Canadienne des Arbitres de Football

                              (hereinafter referred to as the "C.F.O.A.").

 

ARTICLE 2.

Purpose:              The C.F.O.A. shall be a federation of local autonomous groups of

                              football officials united to serve and improve the game of football in

                              Canada by promoting better standards of football officiating and

                              recommending playing rule changes designed to make the game

                              safer and more enjoyable for those participating in it.

 

ARTICLE 3.

Membership:       Any organized group of active football officials (hereinafter referred to

                              as a "Group") shall be entitled to membership in the C.F.O.A. upon

                              meeting the conditions set out herein and paying all regularly

                              established dues. When no Group exists in a particular locality,

                              a single active football official may form a Group.

 

ARTICLE 4.

Regions:              Canada shall be divided into five (5) regions each of which shall

                              comprise one of the following geographic areas:

                              a) British Columbia, Alberta, Yukon.

                              b) Saskatchewan, Manitoba, Northwest Territories.

                              c) Ontario

                              d) Quebec

                              e) New Brunswick, Nova Scotia, Prince Edward Island,

                                  Newfoundland.

 

ARTICLE 5.

Board of               The purpose and administration of the C.F.O.A. shall be implemented

Directors:             by the Board of Directors (hereinafter referred to as the "Board") which

                              shall be composed of one (1) director elected by and from each Group

                              which is itself composed of at least five (5) active officials.

 

ARTICLE 6.

Executive            The Executive Committee shall be composed of five (5) officers, one

Committee:          (1) of whom shall be elected by and from the directors of each region.

                              The Executive committee members shall be elected for four (4) year

1988 ‑ Quebec, ManitobaSaskatchewan, AlbertaBritish Columbia 1990 ‑ Atlantic Provinces and Ontario

 

The officers shall elect by and from themselves one: a) President b) First Vice President c) Second Vice President d) Third Vice President e) Secretary‑Treasurer

 

The Executive Committee shall exercise all the powers and authority of the Board except such as the Board shall specifically reserve to itself from time to time.

 

 

ARTICLE 7.

Rules                    The Executive Committee shall appoint a rules interpreter whose

                              be final and binding in any game officiated by any Group.

 

ARTICLE 8.

Signing                 The Executive Committee shall select two (2) officers, either of whom,

                              cheques and other negotiable instruments on behalf of the C.F.O.A.

 

ARTICLE 9.

Voting:                  Unless otherwise provided, voting shall be by simple majority and

                              shall not require the physical presence of the voter.

 

ARTICLE 10.

Quorum:               The quorum at any meeting or vote shall be one‑third (1 /3) of the

                              directors.

 

ARTICLE 11.

 

Amendments:       This Constitution may only be amended by a vote of two‑thirds (2/3) of

                              the directors.

 

ARTICLE 12,

Fiscal Year:          The fiscal year of the C.F.O.A. shall end annually at noon Grey Cup

                              Day.

 

ARTICLE 13,

Financial               Within thirty (30) days following each fiscal year end, the Secretary­

Report:                 Treasurer shall submit to the Board a report of the financial affairs of

                              the C.F.O.A. during such year.
